N'installez ou n'utilisez le logiciel qu'après avoir lu et accepté tous les termes du contrat. L'autorisation d'utiliser le logiciel dépend de votre acceptation des termes du contrat. L'installation ou l'utilisation du logiciel par vous-même sera considérée comme l'acceptation des termes du contrat. L'acceptation vous liera aux termes de licence dans un contrat légalement exécutoire avec CyberLink Corp.

L'ACTIVATION DU CODEC
Lorsque vous utilisez certaines technologies essentielles aux fonctions multimédias pour la première fois, le logiciel recueillera le numéro de série de votre système informatique et la clé de produit (clef du CD) à des fins d’activation seulement.

DÉCLARATION DE CONFIDENTIALITÉ
Certains de nos produits peuvent envoyer un événement/signal anonyme au serveur principal de CyberLink pour recueillir des informations dans le but d’améliorer l’expérience de l’utilisateur final, comme par exemple :
* Lorsque l’utilisateur accepte ou non de participer au CEIP (programme d’amélioration de l’expérience de CyberLink)/CPIP (Programme d’amélioration du produit de CyberLink) ; et
* Quand nos produits sont installés et/ou désinstallés.

Veuillez noter qu'une version d'essai peut également collecter des informations anonymes et/ou envoyer silencieusement un rapport de plantage au serveur principal de CyberLink dans le cadre d'un programme d'amélioration des produits.

ACCORD DE LICENCE ET RESTRICTIONS D’UTILISATION
Voici les conditions générales de licence et restrictions d’utilisation suivi par des dispositions spécifiques selon le type de licence dont vous disposez.
CyberLink, en tant que concédant de la licence, vous accorde à vous, le concessionnaire de la licence, un droit non-exclusif de télécharger et/ou d’installer le(s) programme(s) PowerDirector compris (ici nommé le « LOGICIEL ») sur un certain nombre d’ordinateurs/appareils, selon le nombre de licences que vous aurez achetées, et vous accorde le droit d’utiliser le LOGICIEL selon les termes contenus dans cette licence. Vous reconnaissez et acceptez que vous pouvez recevoir des mises à jour des LOGICIELS, des avis de mise à niveau ou des messages électroniques commerciaux lors de l'utilisation des LOGICIELS. Vous ne pouvez pas prêter, louer, concéder en sous-licence, modifier, altérer, désassembler, décompiler ou créer des travaux dérivés du LOGICIEL, ou supprimer aucune mention de copyright ou de propriété contenue dans le LOGICIEL. Vous ne pouvez pas reproduire le LOGICIEL sauf pour des fins de sauvegarde et limité à un seul exemplaire. Vous reconnaissez que ce LOGICIEL vous est concédé sous licence, pas vendu. Le LOGICIEL doit être légalement acquis de CyberLink ou par l’intermédiaire des revendeurs autorisés de CyberLink, sinon vous n’avez pas le droit d’utiliser le LOGICIEL. Vous acceptez qu’une fois le LOGICIEL exploité, utilisé ou installé, vous ne pouvez pas le revendre ou distribuer à une autre personne ou entité en fonction des lois pertinentes. Que vous soyez légalement autorisé à revendre le LOGICIEL dépendra de la loi de votre lieu de résidence ou où le cessionnaire est situé. De manière générale une revente ou distribution provoquera une cessation automatique de votre licence d’utilisation du LOGICIEL. Vous possédez et êtes responsable des risques de l'impossibilité d'utiliser ou installer les LOGICIELS lors de l'achat ou l'obtention du LOGICIELS ne venant PAS de CyberLink, les distributeurs ou revendeurs agréés de CyberLink ou pour les LOGICIELS utilisés. Veuillez consulter le lien [1] pour les information d'achat de LOGICIELS sur le site officiel de CyberLink et pour les informations des distributeurs agréés CyberLink.
Types de licence :

CONSOMMATEUR INDIVIDUEL
Si vous achetez le LOGICIEL sous une licence individuelle, c’est pour votre utilisation personnelle dans le cadre des conditions générales ci-dessus.

LICENCE DE SITE
Le LOGICIEL concédé sous licence de site peut être utilisé dans un seul lieu. Le nombre maximum d’utilisateurs est limité par le contrat de licence de site.

LICENCE EN VOLUME
Une seule copie par appareil peut être installée. Si vous êtes le titulaire de licence en volume, alors vous pouvez faire plusieurs copies de sauvegarde et installer plusieurs postes du LOGICIEL. Le nombre total de copies sous licence sera limité à un certain nombre plafonné en fonction de la quantité achetée en gros.

LICENCE D’ÉVALUATION/ESSAI
Une seule copie par appareil peut être installée. Le LOGICIEL est concédé sous licence pour l’évaluation et/ou à des fins d’essai seulement. Les droits qui vous sont accordés ici cesseront après une période de temps spécifiée et l’utilisation du LOGICIEL est limitée dans le temps, après l’expiration de laquelle il peut être désactivé. Cette licence est pour un usage non-commercial.

LICENCE D’ABONNEMENT
Le LOGICIEL est concédé sous licence à des fins de souscription. Vous acceptez que CyberLink puisse changer la version du LOGICIEL qui vous est fournie à tout moment et sans responsabilité envers vous. Un accès continu au LOGICIEL d’abonnement requiert une connexion Internet active, la réception de paiements d’abonnement récurrents par CyberLink et un accord sur les conditions d’utilisation et/ou de service pour le LOGICIEL d’abonnement qui se trouvent sur le site de téléchargement. Les droits qui vous sont accordés ici cesseront après une période de temps spécifiée et l’utilisation du LOGICIEL est limitée dans le temps, après l’expiration de laquelle il peut être désactivé.

LICENCE ÉDUCATION
Le LOGICIEL est concédé sous licence à des fins éducatives et un usage non-commercial. Il peut être acheté par les écoles, les universités, les étudiants et leurs tuteurs, enseignants, professeurs, chargés de cours et autres établissements d’enseignement, chercheurs ou personnel.

PROPRIÉTÉ DU LOGICIEL.
CyberLink garde le copyright, le titre et la propriété du LOGICIEL et les matériaux écrits («Documentation») indépendamment de la forme ou du média dans ou sur lequel l'original et les autres copies peuvent exister.

MISES A NIVEAU.
Si cette copie du LOGICIEL est une mise à niveau depuis une version antérieure du LOGICIEL, elle vous est fournie sur une base d’échange de licence. Lors de votre installation et de l’utilisation de cette copie du LOGICIEL, vous vous engagez à mettre fin volontairement à votre CLUF antérieur et vous ne continuerez pas à utiliser la version antérieure du LOGICIEL ou vous ne la revendrez pas à une autre personne ou entité.

UTILISATION DE CONTENU MÉDIA SOUS LICENCE DE TIERS
Vous pouvez utiliser des images, sons, vidéos, miniatures ou autres contenus média (contenu média), le cas échéant, fournis dans le LOGICIEL, qui peut sous licence de tiers, pour démontrer ou de compléter votre travail créé par l'utilisation du LOGICIEL ; sous réserve que vous ne devez pas utiliser le contenu média de manière illégale, commercial ou immoral, ni ne vous ne devez pas accorder votre droit d'utilisation à des tiers. CyberLink ne fournit aucune garantie ou représentation sur ces éléments de contenu média de tiers et décline toute responsabilité dans la mesure maximale autorisée par la loi.

GARANTIE LIMITÉE.
CyberLink garantit le média sur lequel le LOGICIEL est fourni comme étant sans défauts de matériel et de main d'oeuvre, dans des conditions d'utilisation normales, pour une période de quatre vingt dix (90) jours suivant la date à laquelle il vous a été livré. S'il y a un défaut dans le média (CD/DVD-ROM), la responsabilité de CyberLink se limitera à remplacer le média défectueux qui aura été renvoyé à CyberLink ou au fournisseur avec votre facture datée et apparaissant comme défectueux. Au cas ou CyberLink ne pourrait pas remplacer le media defectueux, CyberLink pourra a sa seule discretion vous rembourser, lors de la resiliation de ce contrat, ou remplacer le media par une version plus recente du meme logiciel.

CE LOGICIEL ET LA DOCUMENTATION QUI L’ACCOMPAGNE (Y COMPRIS LES INSTRUCTIONS D'UTILISATION) SONT FOURNIS « TELS QUELS » SANS GARANTIE D’AUCUNE SORTE ET NE SONT PAS SANS ÉCHEC.DE PLUS, CYBERLINK NE GARANTIT PAS, OU NE FAIT AUCUNE REPRÉSENTATION CONCERNANT L'UTILISATION, OU LES RÉSULTATS DE L'UTILISATION, DU LOGICIEL OU DE LA DOCUMENTATION EN TERMES DE JUSTESSE, D'EXACTITUDE, DE FIABILITÉ, D'ACTUALITÉ OU AUTRE. L'ENSEMBLE DES RISQUES DU POINT DE VUE DES RÉSULTATS ET DES PERFORMANCES DU LOGICIEL VOUS INCOMBENT. Dans le cas de l'existence d'autres garanties, de telles garanties seront limitées en durée à quatre vingt dix (90) jours, suivant la date à laquelle le produit vous aura été livré. En aucun cas la responsabilité de CyberLink pour tout dommage subi par vous ou toute autre personne ne pourra dépasser la somme payée pour la licence pour utiliser le LOGICIEL.

Vous acceptez de dédommager et de tenir CyberLink en dehors de toutes plaintes, de tous dommages, de tous coûts, et de toutes dépenses conséquents à votre utilisation du LOGICIEL à des fins illégales ou en violation du présent CLUF.

A l'expiration de ce Contrat, vous devrez détruire le Logiciel et la Documentation ainsi que toutes les copies de ceux-ci et désinstaller et supprimer le Logiciel de votre disque dur ou tout autre périphérique de stockage.

Ce contrat constitue le contrat complet entre vous et CyberLink Corp. Ce contrat est régi et interprété conformément aux lois de Taiwan et au bénéfice de CyberLink, et de ses successeurs et ayant droit.

Toute revendication ou controverse entre vous et CyberLink ou contre tout agent, employé, successeur ou ayant droit de CyberLink, qu'elle soit relative à ce contrat ou autre, et toute revendication ou controverse relative à ce contrat ou à la relation ou devoirs prévus dans ce contrat, y compris la validité de cette clause d'arbitrage, devra être résolue à Taipei, Taiwan, en vertu de l'Acte d'Arbitrage de Taiwan.

Do not install or use the software until you have read and accepted all of the license terms. Permission to use the software is conditional upon your agreeing to the license terms. Installation or use of the software by you will be deemed to be acceptance of the license terms. Acceptance will bind you to the license terms in a legally enforceable contract with CyberLink Corp.

CODEC ACTIVATION
When you use certain technologies essential to multi-media functions for the first time, the software application will collect the serial number of your computer system and the product key (CD key) for activation purposes only.

PRIVACY POLICY
Some of our products may send an anonymous event/signal to CyberLink’s backend server to collect information for the purpose of improving the end user experience, such as for example:
-When user opts in or out of the CEIP (CyberLink Experience Improvement Program)/CPIP (CyberLink Product Improvement Program); and
-When our product is installed and/or uninstalled.

Please note that a trial version may also collect anonymous information and/or send crash report silently to CyberLink backend server for product improvement program.

RELATED SERVICES
Some of our product features may integrate with services such as MoovieLive and/or DirectorZone. CyberLink, as licensor, grants to you, the licensee, a non-exclusive right to download and/or install the accompanying PowerDirector software program(s) (hereinafter the "SOFTWARE") on a certain number of computer(s)/ device(s) in accordance with the number of the license(s) you purchased and use the SOFTWARE in accordance with the terms contained in this license. You agree and acknowledge that you may receive SOFTWARE update, upgrade notices or any commercial electronic messages during the use of SOFTWARE. You shall not rent, lease, sublicense, modify, alter, reverse engineer, disassemble, decompile, or create any derivative work of the SOFTWARE, or remove any copyright notice or proprietary legend contained in the SOFTWARE. You shall not reproduce the SOFTWARE unless for backup purposes and limited to one copy only. You acknowledge this SOFTWARE is licensed to you, not sold to you. The SOFTWARE must be lawfully acquired from CyberLink or through CyberLink’s authorized resellers otherwise you do not have a right to use the SOFTWARE. You agree that once SOFTWARE is operated, used or installed; you may not resell or distribute it to another person or entity subject to the relevant statutes. Whether you are legally allowed to resell the SOFTWARE will depend on the law of your place of residence or where the transferee is located. Generally a resale or distribution will cause an automatic termination of your license to use the SOFTWARE. You own and are responsible for the risks of inability to use or install the SOFTWARE in purchasing or obtaining the SOFTWARE NOT from CyberLink, CyberLink’s authorized distributors or resellers or for used SOFTWARE. License Types:

INDIVIDUAL CONSUMER
If you acquire the SOFTWARE under an individual license it is for your own use under the general terms above.

SITE LICENSE
Site licensed SOFTWARE is licensed to be used in a single location. The maximum number of users is limited by the site license agreement.

VOLUME LICENSE
Only one copy per device may be installed. If you are the volume license holder then you may make multiple back-up copies and install multiple seats of the SOFTWARE. The total number of licensed copies will be limited to a capped number according to the purchased quantity in bulk.

EVALUATION/TRIAL LICENSE
Only one copy per device may be installed. The SOFTWARE is licensed for evaluation and/or trial purposes only. The rights granted to you herein will cease after a specified time period and the SOFTWARE usage is time limited, after expiration of which it may be disabled. This license is for non-commercial use.

SUBSCRIPTION LICENSE
The SOFTWARE is licensed for subscription purposes. You agree that CyberLink may change the version of the SOFTWARE provided to you at any time without liability to you. Ongoing access to Subscription SOFTWARE requires a working internet connection, CyberLink’s receipt of recurring subscription payments and agreement to the terms of use and/or service for Subscription SOFTWARE to be found on the downloading site. The rights granted to you herein will cease after a specified time period and the SOFTWARE usage is time limited, after expiration of which it may be disabled.

EDUCATIONAL LICENSE
The SOFTWARE is licensed for educational purposes and non-commercial use only. It may be purchased by schools, universities, students and their legal guardians, faculty, teachers, professors, lecturers and any other educational institutions, scholars or staff.
If you are going to use the SOFTWARE for commercial purposes then additional licenses will be needed for the following non-exhaustive list of third party technologies:

OWNERSHIP OF SOFTWARE
CyberLink retains the copyright, title and ownership of the SOFTWARE and the written materials ("Documentation") regardless of the form or media in or on which the original and other copies may exist.

UPGRADES
If this copy of the SOFTWARE is an upgrade from an earlier version of the SOFTWARE, it is provided to you on a license exchange basis. Upon your installation and use of this copy of the SOFTWARE, you agree to voluntarily terminate your earlier EULA and you will not continue to use the earlier version of the SOFTWARE or resell or distribute it to another person or entity.

USE OF MEDIA CONTENT LICENSED BY THIRD PARTIES
You may use pictures, audio, video, thumbnails or other media content (media content), if any, provided in the SOFTWARE, which may be licensed from third parties, to demonstrate or complete your work created by the use of the SOFTWARE; provided that you should not use the media content in any illegal, commercial or immoral manner, nor shall you grant your right to use to any third party. CyberLink does not provide any warranty or representation to these media content items from third parties and disclaims all liabilities to the maximum extent allowed by law.

LIMITED WARRANTY
CyberLink warrants the media on which the SOFTWARE is furnished to be free of defects in material and workmanship, under normal use, for a period of ninety (90) days following the date of delivery to you. If there is a defect in the media (CD/DVD-ROM), CyberLink's sole liability shall be to replace the defective media, which has been returned to CyberLink or the supplier with your dated invoice and is shown to be defective. In the event that CyberLink is unable to replace defective media, CyberLink shall at its sole discretion either refund your money upon your termination of this license or replace it with the newer version of the same software.

THIS SOFTWARE AND ACCOMPANYING DOCUMENTATION (INCLUDING INSTRUCTIONS FOR USE) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND AND ARE NOT FAIL-SAFE. FURTHER, CYBERLINK DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF USE, OF THE SOFTWARE OR DOCUMENTATION IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. IF THE SOFTWARE OR DOCUMENTATION IS DEFECTIVE, YOU, AND NOT CYBERLINK OR ITS DEALERS, DISTRIBUTORS, AGENTS, OR EMPLOYEES, ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICE, REPAIR OR CORRECTION.

CYBERLINK DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY CYBERLINK, ITS DEALERS, DISTRIBUTORS, AGENTS OR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY AND YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE.

NEITHER CYBERLINK NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THIS PRODUCT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE SUCH PRODUCT EVEN IF CYBERLINK HAS BEEN ADVISED OF THE POSSBILITY OF SUCH DAMAGES.

Should any other warranties be found to exist, such warranties shall be limited in duration to ninety (90) days following the date of delivery to you. In no event will CyberLink's liability for any damages to you or any other person exceed the amount paid for the license to use the SOFTWARE.

You agree to bear the full, complete, and sole responsibility for using the SOFTWARE for any purpose. You also agree to indemnify and hold CyberLink harmless from any claims, proceedings, damages, costs, and expenses resulting from your use of the SOFTWARE for any illegal purpose or violation of this EULA.

Upon termination of this EULA, you should destroy the SOFTWARE and the Documentation and all the copies thereof and remove and delete the SOFTWARE from your hard disk or other storage device.

This EULA constitutes the entire agreement between you and CyberLink Corp. This EULA shall be governed and construed in accordance with the laws of Taiwan and shall benefit CyberLink, its successors and assigns.

Any claim or dispute between you and CyberLink or against any agent, employee, successor or assign of CyberLink, whether related to this EUL A or otherwise, and any claim or dispute related to this EULA or the relationship or duties contemplated under this EULA.
